1. Acceptance of these Terms
These Terms and Conditions govern access to and use of Zuppa Sync, a software service operated by Lorenzo Croccolino, VAT IT04390140400, Italy (IT) that helps users configure and operate data synchronization between Attio and HubSpot.
By creating an account, connecting a provider account, creating a mapping, starting a checkout, or otherwise using the service, you agree to these Terms on behalf of yourself or the organization you represent.
If you use the service on behalf of an organization, you confirm that you have authority to bind that organization to these Terms.
2. The Service
Zuppa Sync provides tools to connect Attio and HubSpot accounts, configure mapping rules, manage synchronization profiles, monitor synchronization activity, and review operational logs and statistics.
The service depends on third-party platforms, APIs, authentication systems, rate limits, scopes, account permissions, and availability. Changes or outages affecting Attio, HubSpot, Stripe, hosting providers, or other infrastructure may affect service behavior.
We may improve, modify, suspend, or discontinue parts of the service when needed for security, reliability, compliance, product quality, or business reasons.
3. Accounts and Authorized Users
You are responsible for keeping your login credentials secure and for all activity performed through your account or invited team members.
You must provide accurate account information and keep it current. You must not share access with unauthorized users or use another person's account without permission.
If you invite additional users to a mapping or workspace, you are responsible for their access level, actions, and compliance with these Terms.
4. Provider Connections and Customer Data
To use synchronization features, you must authorize the service to access selected Attio and HubSpot accounts. You are responsible for ensuring that you have the required rights and permissions to connect those accounts and process the data they contain.
The service may read, transform, create, update, archive, or otherwise process records according to the mappings, profiles, field rules, credentials, and directions you configure.
You remain responsible for the accuracy, quality, legality, and backup of your data. You should review mappings carefully before enabling synchronization in production systems.
5. Synchronization Behavior
Synchronization is based on the configuration available at the time a sync run or webhook delivery is processed. Results may vary if provider schemas, permissions, API responses, object definitions, field types, account settings, or mapping rules change.
The service is designed to keep logs, statistics, run records, and error information, but no synchronization system can guarantee that every external event, provider update, or API state will be processed without delay or error.
You are responsible for monitoring sync results, reviewing errors, and correcting mapping or provider configuration issues when they occur.
6. Plans, Subscriptions, Trials, and Payment
Depending on the active service configuration, mappings may be offered through a free tier or through paid plans, trials, prices, taxes, billing periods, and payment methods presented through Stripe Hosted Checkout or other billing flows that we make available.
For paid mappings, a mapping may be created before payment is completed, but setup and synchronization features may remain unavailable until payment or trial activation is confirmed. Free-tier mappings may be activated without checkout.
If payment fails, a subscription is cancelled, or a plan is no longer valid, we may block or restrict affected mappings until the billing issue is resolved.
Plan limits, including hourly synchronization limits, may be applied automatically by the service. Records or events that exceed applicable limits may be ignored, delayed, or require a higher plan.
7. Acceptable Use
You must not use the service to violate law, infringe rights, process data without authorization, disrupt third-party systems, bypass usage limits, test vulnerabilities without permission, or transmit malicious code.
You must not overload the service or connected providers through abusive automation, excessive requests, intentionally invalid payloads, or attempts to circumvent synchronization controls.
We may suspend or restrict access if we reasonably believe use of the service creates security, legal, operational, billing, or abuse risk.
8. Third-Party Services
Attio, HubSpot, Stripe, Firebase, MongoDB, hosting providers, email providers, analytics tools, and other third-party services may be involved in operating the service.
Your use of third-party platforms remains subject to their own terms, policies, limits, and account requirements. We are not responsible for third-party services, APIs, outages, data handling, permissions, or changes.
You are responsible for maintaining provider accounts, subscriptions, scopes, credentials, and permissions needed for the service to operate.
9. Security
We use technical and organizational measures intended to protect stored credentials and operational data, including encryption for provider tokens where applicable.
No internet-connected service can be guaranteed to be completely secure. You must promptly notify us if you believe your account, provider connection, or synchronization setup has been compromised.
You should use strong authentication, limit user access, periodically review connected accounts, and remove credentials or mappings that are no longer needed.
10. Intellectual Property
The service, software, interface, documentation, branding, and related materials are owned by us or our licensors and are protected by applicable intellectual property laws.
You retain ownership of your data. You grant us the rights needed to host, process, transmit, transform, and display your data solely as necessary to provide, secure, maintain, and improve the service.
You may provide feedback or suggestions. We may use that feedback without restriction or obligation to you.
11. Confidentiality and Privacy
Each party may receive non-public information from the other. The receiving party must use reasonable care to protect confidential information and use it only for purposes related to the service.
Our processing of personal data depends on the features you use, the provider accounts you connect, and the data configured for synchronization.
You are responsible for ensuring that your use of the service complies with privacy, data protection, employment, marketing, and sector-specific laws that apply to your organization and data.
12. Disclaimers
The service is provided on an as-is and as-available basis. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, and error-free synchronization.
We do not guarantee that synchronized records will always be complete, current, correct, deduplicated, or recoverable. You should maintain appropriate backups and operational review processes.
13. Limitation of Liability
To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, loss of data, business interruption, or loss of goodwill.
To the maximum extent permitted by law, our total liability for claims arising out of or relating to the service or these Terms will not exceed the amounts paid by you for the affected service during the three months before the event giving rise to the claim.
14. Indemnity
You will defend and indemnify us from claims, damages, losses, liabilities, costs, and expenses arising from your data, your provider accounts, your mappings, your users, your breach of these Terms, or your violation of law or third-party rights.
15. Suspension and Termination
You may stop using the service at any time. Certain data may remain in backups, logs, audit trails, billing records, or records required for legal, security, or operational reasons.
We may suspend or terminate access if you breach these Terms, fail to pay, create security or operational risk, use the service unlawfully, or if continued service provision becomes impractical.
After termination, connected provider access may stop, mappings may no longer run, and access to historical logs or settings may be limited.
16. Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised effective date.
If changes are material, we may provide additional notice through the service or by email when appropriate. Continued use of the service after changes become effective means you accept the updated Terms.
17. Governing Law and Contact
Unless mandatory law requires otherwise, these Terms are governed by the laws of Italy, without regard to conflict of law rules.
